These Terms govern your use of Kontrol EA, the KontrolFX member dashboard, and related services (collectively, the "Service"). KontrolFX is operated as an individual sole trader based in Johannesburg, South Africa. By purchasing a license, requesting a trial, or accessing the dashboard, you agree to these Terms.
01Acceptance
These Terms form a binding agreement between you ("you", "Customer") and KontrolFX ("we", "us"). You must be at least 18 years old and legally able to enter into a contract in your jurisdiction. By using the Service you confirm that you have read, understood, and accept these Terms and the Privacy Policy.
02Definitions
- Software / EA — the Kontrol EA Expert Advisor for MetaTrader 5, including all set files, updates, and trial variants.
- Service — the Software together with the KontrolFX member dashboard at dashboard.kontrolfx.com, license validation server, and trial system.
- License Key — the alphanumeric key issued to you on purchase, used to activate the Software.
- Activation — a unique combination of MT5 account number and machine fingerprint registered to your License Key.
- Yoco — Yoco Technologies (Pty) Ltd, our payment gateway, which processes card payments on our behalf.
03Software License
Subject to your compliance with these Terms and payment in full, we grant you a limited, non-exclusive, non-transferable, revocable license to install and run the Software on the number of MT5 instances permitted by your purchase.
The Software is licensed, not sold. We retain all right, title, and interest in the Software, including all intellectual property rights. You may not:
- Copy, redistribute, sublicense, resell, or rent the Software;
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software;
- Modify, adapt, or create derivative works of the Software;
- Remove or alter any copyright notices, license keys, or proprietary markings;
- Use the Software to provide a managed-account, signal, or copy-trading service to third parties.
04Subscription & Lifetime License
Pricing
The Software is available as:
- Monthly subscription: US$17 per month, billed automatically on a recurring monthly cycle, cancellable at any time.
- Lifetime license: US$300 one-time payment, no recurring billing.
All prices are quoted in United States Dollars (USD). Customers in South Africa are charged the equivalent in South African Rand (ZAR) at checkout based on the prevailing exchange rate.
Billing
Card payments are processed by Yoco, our payment gateway. Yoco handles card data, payment authorisation, and recurring billing. We do not receive or store your payment card details. By making payment you also agree to Yoco's applicable terms.
Cancellation
You may cancel a monthly subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period — you retain access until then. Lifetime licenses cannot be cancelled because they are one-time purchases.
05Activations & License Keys
Each license includes up to 10 activations across PCs and VPS instances. An activation binds your License Key to one MT5 account + machine fingerprint combination. Activations are tracked and may be reset via the dashboard.
The Service additionally enforces a limit of 2 unique IP addresses per license. You may self-service reset your IP list once every 30 days from the dashboard.
You may purchase additional activation bundles (+1, +5, +10) at any time from your dashboard.
License key sharing is prohibited. Sharing your key with third parties violates these Terms. Detection of sharing (multiple simultaneous geographic locations, mass IP cycling, account brokerage) may result in immediate license suspension without refund.
06Acceptable Use
You agree to use the Software lawfully and only for purposes consistent with these Terms. You are responsible for:
- Selecting your broker and trading account;
- Configuring all EA parameters (lot size, risk percentage, pair selection, strategy mode);
- Compliance with your broker's terms of service, your prop firm's rules (if applicable), and the laws of your jurisdiction;
- All trading decisions and their financial outcomes.
You may not use the Software to:
- Manage funds belonging to other persons (this constitutes "discretionary financial services" under the South African FAIS Act and requires an FSP licence which we do not hold and do not authorise you to act under);
- Provide trading signals, advice, or recommendations to third parties as a service;
- Operate prop firm accounts in violation of the prop firm's terms;
- Violate any applicable laws including anti-money-laundering, sanctions, or financial services regulations.
07No Financial Advice
KontrolFX is a software vendor. We are not a Financial Services Provider (FSP), broker, fund manager, investment adviser, or signal service. We do not provide financial, investment, tax, or legal advice of any kind.
The Software is a tool. You configure it, you choose your broker, you make all trading decisions, and you bear all outcomes. Nothing in the Software, the dashboard, our website, our emails, or our support correspondence should be construed as a recommendation to buy, sell, or hold any financial instrument.
If you require financial advice, consult an FSCA-authorised Financial Services Provider in South Africa (or the equivalent regulator in your country).
08Trading Risk
Trading forex, contracts for difference (CFDs), and other leveraged derivatives carries a high level of risk and may not be suitable for all investors. The possibility exists that you may lose some or all of your invested capital. Past performance — whether of the Software, our test accounts, or any other source — is not indicative of future results.
Performance data displayed on our website reflects the developer's own test and live accounts, tracked by third-party services. Your individual results will differ based on your broker, account size, settings, leverage, market conditions, execution quality, and other factors. No specific outcome is promised or guaranteed.
You should never trade with capital you cannot afford to lose. Always test on a demo account before deploying real funds. If you are unsure whether trading is appropriate for you, seek independent financial advice from a licensed professional.
09Trial Terms
We offer a free 30-day trial of the Software:
- Trial keys are limited to demo MT5 accounts only. Use on live accounts is blocked by the trial software.
- The trial supports a fixed set of currency pairs (currently AUDCAD, GBPNZD, USDJPY, XAUUSD).
- The 30-day counter begins when the trial EA is first attached to a chart.
- Trials are limited to one per MT5 account number. Abuse (e.g. creating multiple demo accounts to extend trial duration) is grounds for termination.
- Trial keys are free of charge and not refundable. They expire automatically.
10Intellectual Property
The Software, source code, set files, brand assets, design, documentation, and all associated materials are the exclusive property of KontrolFX and are protected by South African and international copyright, trademark, and other intellectual property laws.
"KontrolFX", "Kontrol EA", the lime-on-black wordmark, and related marks are trademarks of KontrolFX. Unauthorised use is prohibited.
Your trading data — orders, positions, account balance, P&L — remains yours. Where the optional Trade Tracker feature sends data to our dashboard server, we process this data on your behalf as described in our Privacy Policy.
11Service Availability
We provide the dashboard, license validation, and trial systems on a best-effort basis. We do not guarantee uninterrupted access, error-free operation, or any specific uptime. Planned maintenance, hosting provider outages, network issues, or unforeseen events may cause temporary unavailability.
The Software (Kontrol EA) operates locally on your machine and does not depend on continuous server connectivity for trading. License validation includes a 72-hour grace period during which the EA continues to operate normally if our license server is unreachable.
12Limitation of Liability
To the maximum extent permitted by applicable law:
- The Software is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, profitability, or non-infringement.
- We are not liable for any trading losses, opportunity costs, slippage, broker errors, network failures, or any losses arising directly or indirectly from your use of the Software.
- We are not liable for any indirect, incidental, consequential, special, or punitive damages, even if we have been advised of the possibility of such damages.
- Our total aggregate liability under these Terms, regardless of legal theory, shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. To the extent such laws apply, the above limitations apply to the maximum extent permitted.
13Termination
You may terminate this agreement at any time by cancelling your subscription and discontinuing use of the Software. We may terminate or suspend your access immediately, without notice, if:
- You materially breach these Terms;
- Your payment fails and is not remedied within 14 days;
- We detect license abuse (sharing, mass activation, automated brokerage);
- Required by law, regulator, or court order.
On termination, your License Key is deactivated and your access to the dashboard ends. Sections 7 (No Advice), 8 (Risk), 11 (IP), 13 (Liability), 16 (Governing Law) survive termination.
14Changes to Terms
We may update these Terms from time to time. For material changes affecting your rights or obligations, we will provide at least 30 days' notice by email to your registered address and post a notice on the dashboard. Continued use after the effective date constitutes acceptance. If you do not accept the changes you may cancel your subscription before they take effect.
15Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising from or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of South Africa, in the Province of Gauteng.
Nothing in this clause prevents either party from seeking interim relief in any court of competent jurisdiction.
